Governantic.AI Website Terms and Conditions

Effective Date: June 15, 2026

Website: Governantic.AI

Operator: Governantic.AI Inc. (“Governantic.AI,” “we,” Corporate “us,” or “our”)

These Terms and Conditions govern your access to and use of the Governantic.AI website, platform, products, services, software, artificial intelligence tools, reports, outputs, recommendations, and related content (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

1. Experimental Nature of the Services

Governantic.AI provides AI-enabled solutions, tools, workflows, analyses, content, and outputs on an experimental, developmental, and evolving basis.

You acknowledge and agree that artificial intelligence technologies, including generative AI systems, large language models, machine learning tools, and automated decision-support systems, are inherently probabilistic and may produce inaccurate, incomplete, outdated, misleading, biased, offensive, or otherwise inappropriate results.

The Services may make mistakes. They may hallucinate facts, invent sources, misinterpret information, provide incorrect recommendations, omit relevant context, or generate outputs that appear accurate but are not. By using the Services, you knowingly accept these risks.

2. No Guarantee of Accuracy or Reliability

Governantic.AI does not guarantee that any AI-generated output, analysis, recommendation, classification, summary, response, document, or other result generated through the Services will be accurate, complete, current, legally compliant, suitable for your intended purpose, or free from errors.

You are solely responsible for reviewing, validating, testing, and verifying all outputs before relying on them or using them in any business, legal, compliance, governance, operational, financial, employment, public sector, procurement, regulatory, or other decision-making context.

You must not treat any output from the Services as a substitute for professional judgment, independent verification, legal advice, regulatory advice, technical advice, or other expert review.

3. User Assumption of Risk

You acknowledge and agree that your use of the Services is at your own risk. Without limiting the generality of the foregoing, you accept the risk that the Services may:

  • a. generate incorrect, false, or misleading information;
  • b. hallucinate facts, citations, legal principles, policies, procedures, or technical details;
  • c. produce outputs that are incomplete, outdated, biased, or inappropriate;
  • d. misunderstand your prompts, data, documents, objectives, or context;
  • e. fail to identify relevant risks, obligations, controls, gaps, or issues;
  • f. generate content that requires human review before use;
  • g. produce different outputs in response to the same or similar inputs; and
  • h. be unavailable, interrupted, modified, suspended, or discontinued at any time.

You agree that Governantic.AI is not responsible for any loss, harm, liability, claim, penalty, damage, business interruption, reputational harm, regulatory exposure, or other consequence arising from your reliance on AI-generated outputs without appropriate human review and independent verification.

4. No Professional Advice

The Services are provided for informational, productivity, governance-support, and decision-support purposes only.

Unless Governantic.AI expressly agrees otherwise in a separate written agreement, the Services do not constitute legal advice, privacy advice, compliance advice, financial advice, professional consulting advice, or any other regulated professional service.

You are responsible for obtaining advice from qualified professionals before making decisions based on the Services, especially where decisions may affect legal rights, regulatory obligations, employment outcomes, public sector decisions, financial interests, security posture, privacy rights, or other significant interests.

5. Human Oversight Required

You must ensure that qualified human personnel review and validate all outputs before they are used, published, submitted, implemented, or relied upon.

You agree not to use the Services as the sole basis for decisions that may have legal, regulatory, financial, employment, safety, security, human rights, privacy, or similarly significant effects on any person or organization.

Governantic.AI may provide tools to assist with analysis, drafting, governance mapping, policy review, risk assessment, or workflow automation, but responsibility for final decisions remains solely with you.

6. User Responsibilities

You agree to use the Services responsibly, lawfully, and in accordance with these Terms. You are responsible for:

  • a. ensuring that you have the legal right to provide any data, documents, prompts, or other inputs to the Services;
  • b. reviewing and verifying all outputs before use;
  • c. maintaining appropriate human oversight;
  • d. complying with all applicable laws, regulations, policies, professional obligations, and contractual duties;
  • e. ensuring that your use of the Services is suitable for your organization’s risk tolerance and intended use case;
  • f. implementing appropriate safeguards before using outputs in operational or decision-making contexts; and
  • g. ensuring that you do not input personal information, confidential information, privileged information, trade secrets, or sensitive data unless you are authorized to do so and have assessed the associated risks.

7. Prohibited Uses

You must not use the Services:

  • a. for unlawful, fraudulent, harmful, misleading, discriminatory, or abusive purposes;
  • b. to make fully automated decisions about individuals without appropriate legal authority, safeguards, transparency, and human review;
  • c. to generate or disseminate false, deceptive, defamatory, infringing, or unlawful content;
  • d. to violate privacy, data protection, intellectual property, employment, human rights, consumer protection, public sector, procurement, or other applicable laws;
  • e. to reverse engineer, scrape, interfere with, overload, decompile, or attempt to compromise or discover the underlying source code/weights of the Services;
  • f. to upload malicious code, viruses, or harmful materials;
  • g. to impersonate another person or misrepresent your identity or authority;
  • h. to use the Services in high-risk environments where errors may cause death, personal injury, severe financial loss, legal prejudice, or significant harm, unless expressly authorized by Governantic.AI in writing;
  • i. in any way that could damage, disable, overburden, or impair the Services; or
  • j. if you are located in, under the control of, or a national or resident of any jurisdiction subject to Canadian, U.S., or international trade embargoes, or if you are designated on any government list of prohibited or restricted parties.

8. User Inputs and AI Outputs

  • a. Ownership of Inputs: You retain all right, title, and interest (including any intellectual property rights) in and to any prompts, documents, files, data, instructions, or other materials you submit to the Services (“Inputs”).
  • b. Ownership of Outputs: As between you and Governantic.AI, and to the extent permitted by applicable law, you own all right, title, and interest in and to the outputs, reports, analyses, recommendations, and results generated by the Services based on your Inputs (“Outputs”). Governantic.AI hereby assigns to you all of its right, title, and interest (if any) in and to the Outputs.
  • c. Similarity of Content: Due to the nature of machine learning and artificial intelligence systems generally, Outputs may not be unique, and the Services may generate the same or similar outputs for other users. The assignment of rights in Section 8(b) does not extend to outputs generated for other users. You are responsible for determining whether you may lawfully use, disclose, publish, rely on, or commercialize any Output.

9. Privacy, Confidentiality, and AI Model Training

Your use of the Services may involve the processing of information that you provide to Governantic.AI. Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy, available at: www.governatic.ai/privacy.

  • a. Strict Restrictions on AI Model Training: Governantic.AI values your data sovereignty. We do not use your Inputs, Outputs, or proprietary organizational data to train, retrain, or fine-tune public, shared, or foundational artificial intelligence models without your explicit, opt-in written consent.
  • b. Third-Party Service Providers: Governantic.AI may use third-party service providers, hosting providers, analytics providers, upstream AI model infrastructure providers, and other vendors to operate and improve the Services. Your use of the Services may therefore involve the processing of Inputs, Outputs, metadata, and usage data by such providers, subject to applicable strict enterprise confidentiality agreements and technical safeguards.

10. Third-Party Technologies and Services

The Services may incorporate or rely on third-party technologies, models, APIs, platforms, software, hosting infrastructure, datasets, or integrations.

Governantic.AI does not control all third-party technologies used in connection with the Services and is not responsible for third-party errors, outages, security incidents, model behavior, upstream policy changes, data processing practices, or service interruptions. Your use of third-party integrations may also be subject to additional third-party terms and policies.

11. Changes to the Services

Governantic.AI may modify, improve, suspend, restrict, replace, or discontinue any part of the Services at any time, with or without notice.

Because the Services are experimental and evolving, features, functionality, performance, availability, underlying AI models, outputs, and operational limitations may change over time. Governantic.AI is not liable for any loss or inconvenience arising from changes to, suspension of, or discontinuance of the Services.

12. No Warranties

The Services are provided on an “as is,” “as available,” and “experimental” basis.

To the fullest extent permitted by law, Governantic.AI disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, security, and error-free operation.

Governantic.AI does not warrant that the Services will meet your requirements, achieve any intended outcome, comply with laws applicable to your specific industry use case, or produce entirely reliable or accurate results.

13. Limitation of Liability

To the fullest extent permitted by law, Governantic.AI and its directors, officers, employees, contractors, affiliates, licensors, service providers, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or aggravated damages. This includes loss of profits, revenue, data, goodwill, business opportunity, reputation, anticipated savings, or regulatory consequences arising from or related to your use of or inability to use the Services.

Without limiting the foregoing, Governantic.AI will not be liable for any damages, losses, claims, penalties, or consequences arising from:

  • a. inaccurate, incomplete, misleading, hallucinated, or erroneous AI-generated Outputs;
  • b. your reliance on Outputs without human review or independent verification;
  • c. your use of the Services for a prohibited, unlawful, or high-risk purpose;
  • d. your unauthorized submission of personal, confidential, privileged, or sensitive information;
  • e. third-party technologies, providers, integrations, or infrastructure;
  • f. interruptions, delays, outages, or security incidents; or
  • g. changes to or discontinuance of the Services.

To the fullest extent permitted by law, Governantic.AI’s total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:

  • a. the amount paid by you to Governantic.AI for the Services giving rise to the claim in the three (3) months preceding the event giving rise to liability; or
  • b. USD $100.

14. Indemnity

You agree to defend, indemnify, and hold harmless Governantic.AI and its directors, officers, employees, contractors, affiliates, licensors, service providers, and representatives from and against any claims, liabilities, damages, losses, penalties, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • a. your use or misuse of the Services;
  • b. your reliance on AI-generated Outputs;
  • c. your Inputs or other materials submitted to the Services;
  • d. your breach of these Terms;
  • e. your violation of applicable laws, regulations, or third-party rights;
  • f. your use of Outputs in any decision-making, professional, legal, compliance, governance, regulatory, employment, financial, or operational context; or
  • g. your failure to review, validate, or verify Outputs before using or publishing them.

15. Accounts and Access

Some Services may require an account, login credentials, subscription, or authorization. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You agree to notify Governantic.AI promptly of any unauthorized access, suspected security breach, or misuse of your account.

Governantic.AI may suspend or terminate access to the Services if we believe that you have breached these Terms, created risk for Governantic.AI or others, used the Services unlawfully, or engaged in structural misuse of the platform.

16. Fees and Payment

Certain Services may be provided for a fee. Applicable fees, payment terms, taxes, renewal terms, cancellation rights, and refund rules will be described at the time of purchase or outlined in a separate written agreement.

Unless otherwise stated or required by applicable consumer law, all fees are non-refundable to the fullest extent permitted by law.

17. Intellectual Property

Governantic.AI and its licensors retain all right, title, and interest in and to the Services, including all software, models, underlying architecture, systems, workflows, interfaces, documentation, templates, know-how, trademarks, branding, website content, and related intellectual property.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works based on the platform or proprietary aspects of the Services. Nothing in these Terms transfers ownership of Governantic.AI’s structural intellectual property to you.

18. Feedback

If you provide suggestions, comments, ideas, bug reports, improvement requests, or other feedback regarding the Services, you grant Governantic.AI a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, modify, publish, distribute, and commercialize that feedback without restriction, attribution, or compensation to you.

19. Suspension and Termination

Governantic.AI may suspend or terminate your access to the Services at any time if we reasonably believe that:

  • a. you have breached these Terms;
  • b. your use of the Services creates legal, regulatory, security, operational, reputational, or technical risk;
  • c. you have used the Services for a prohibited or harmful purpose; or
  • d. suspension or termination is necessary to protect Governantic.AI, our users, third parties, or the foundational integrity of the Services.

Upon termination, your right to access and use the Services will immediately cease.

  • Survival: Upon any termination or expiration of these Terms, all provisions which by their nature should survive will continue in full force and effect, including without limitation Sections 4 (No Professional Advice), 8 (User Inputs and AI Outputs), 12 (No Warranties), 13 (Limitation of Liability), 14 (Indemnity), 17 (Intellectual Property), 20 (Governing Law and Dispute Resolution), and 21 (Miscellaneous Provisions).

20. Governing Law and Dispute Resolution

  • a. Governing Law: These Terms, and any dispute, claim, or controversy arising out of or related to them or the Services, will be governed by, construed, and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
  • b. Forum Selection: You and Governantic.AI explicitly agree that any legal suit, action, or proceeding arising out of or relating to these Terms or the Services must be instituted exclusively in the courts of the Province of Ontario located in the City of Toronto. Each party irrevocably submits to the exclusive jurisdiction of such courts.
  • c. Class Action Waiver: To the fullest extent permitted by applicable law, any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor Governantic.AI will seek to have any dispute heard as a class action, private attorney general action, or in any other proceeding in which either party acts or proposes to act in a representative capacity.

21. Miscellaneous Provisions

  • a. Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force, effect, and enforceability.
  • b. Entire Agreement: These Terms, together with our Privacy Policy and any separate executed written commercial agreements or order forms between you and Governantic.AI, constitute the entire agreement between you and Governantic.AI regarding your access to and use of the Services, and supersede all prior or contemporaneous communications, understandings, or agreements (whether oral or written) regarding this subject matter.
  • c. Waiver: No waiver by Governantic.AI of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
